READ BEFORE RELYING ON ANY BUSINESS LISTING OR CONNECTION
PharmXchange is a business-to-business discovery, RFQ, quotation and business-contact platform. We work to make business matching more organized and trustworthy, including reviewing relevant business documents. However, we do not ordinarily inspect factories, offices, warehouses, facilities or physical stock, and documentary checks are not guarantees. PharmXchange does not ordinarily buy, sell, manufacture, inspect, ship, insure or receive and settle payments for the independent goods transactions negotiated between Users. Each User must conduct independent checks before signing a contract, paying an advance, accepting a batch or arranging import/export. Users should stop and report credible fraud, unsafe stock or misleading information. Nothing in this Disclaimer excuses the Company's own wrongful conduct or a non-excludable statutory duty.
1. Company and covered Services
1.1. This Disclaimer applies to PharmXchange Private Limited (CIN U62099GJ2026PTC173145, GSTIN 24AAQCP6770K1ZR) and its authorized website/app services, business profiles, quotations, discovery, TPM requirements, Clearance Zone, chat, contact-sharing, supporting documents, promotional listings, lead forms, messaging and other Services described in our Terms & Conditions.
1.2. Our registered corporate address is 457-F, Office No. 4-D, Vardan Tower, Lakhudi Circle, Navrangpura, Ahmedabad City, Ahmedabad – 380009, Gujarat, India. A separate GST place of business has been reported at 1001–1005 & 1008–1010, Tenth Floor, C/o The Co.Work Capital, TRUE VALUE COWORKING SOLUTIONS, OCEAN, Near Centre Square Mall, Opp. Vadodara Central, Sarabhai Campus, Vadodara, Gujarat – 390023, India. These are addresses of the same Company for different purposes, not separate Platforms or contracting sellers.
2. A venue for independent business discovery, not a seller or escrow provider
2.1. The Platform introduces or allows Users to discover other businesses and exchange commercial information. It does not ordinarily become the seller, buyer, manufacturer, distributor, importer/exporter, principal, agent, logistics operator, warehouse, inspector, prescribing professional, insurer or guarantor for User-to-User pharmaceutical and related trades.
2.2. No underlying trade escrow or settlement. PharmXchange may collect payment for its own subscriptions, digital credits or approved promotional services. That payment is not an advance for goods from a Manufacturer, a trade-security deposit, an insurance premium, or an escrow arrangement protecting user-to-user product payments. Paying the Company does not make the counterparty safer by financial guarantee.
2.3. Users independently agree the actual purchase order, supply contract, advance, balance payment, price, quality requirements, insurance, delivery, inspection, returns, penalties, taxes, customs documents and legal recourse. The Platform's matching or communication feature does not create a supply contract by itself.
2.4. No number of quotations, legitimate leads, successful transactions, sales or business income is guaranteed. Manufacturer and Buyer availability, responsiveness and pricing can change after a listing is posted.
3. What documentary verification actually means
3.1. PharmXchange may request and review category-appropriate business-registration documents, drug or manufacturing licences where legally appropriate, GST/tax documents, identity/authority information and other evidence. Depending on supported features, certain documents may be supplied/authenticated using DigiLocker or another authorized integration. The extent of independent validation is limited to what that documented process actually performs.
3.2. The Company does not ordinarily visit or inspect the office, factory, warehouse, production facility, manufacturing line, laboratory or stock of Users. It does not routinely take product samples, inspect plant machinery, validate staff competencies, independently test batches, audit GMP, check physical inventory or assess the business's finances.
3.3. A badge, Account acceptance, paid Plan, DigiLocker-assisted document check or quotation is not a certificate issued by a pharmaceutical regulator, a guarantee that a licence is still valid, an assurance of the truth of every uploaded document, or proof of a user's capacity, product quality, honesty, ownership or ability to deliver. False documentation, subsequently revoked licences and concealed facts can occur even after reasonable review.
3.4. Users should verify independently with the appropriate corporate and regulatory authorities, inspect or commission independent audits where commercially prudent, obtain batch and quality documentation, verify banking instructions and demand written commercial protections before relying on a supplier or Buyer.
4. No warranty of identity, capacity or finances
4.1. A person may wrongly claim to be a Manufacturer, authorized distributor, exporter, trader or employee. PharmXchange cannot guarantee that every registered user, signatory, phone number, document, quotation or business identity is accurate merely because it appeared on our Platform.
4.2. No Company listing guarantees that a Manufacturer has genuine excess capacity, an operating factory, enough working capital, delivery capability, lawful stock ownership, minimum order quantity, correct product specs, regulatory approval, or current ability to take an order.
4.3. No Company listing guarantees that a Buyer is creditworthy, has real demand, is authorized to purchase controlled goods, will pay on time, or will complete a procurement process. The Platform should be treated as a discovery tool, not a credit-reference report.
5. Specific independent transaction risks
5.1. Advance paid, goods not supplied. A User may send a deposit directly to a purported Manufacturer and receive no goods, delayed goods or no response. Except for its own expressly assumed duty and unavoidable statutory obligations, PharmXchange is not the recipient of that trade payment, seller of those goods or contractual guarantor of delivery. The affected User should contact its bank and competent authorities and enforce its rights against the legally responsible party.
5.2. Defective, counterfeit or wrongly specified stock. Products may not match a quotation or sample; a batch may be defective, adulterated, unstable, counterfeit, contaminated, mislabelled, unsafe, under-strength, expired or unlawfully supplied. Relevant Manufacturers, Sellers, distributors, importers and other responsible parties retain their statutory and contractual product obligations. A listing or matching score is not a product test, certificate of analysis or warranty from PharmXchange.
5.3. Fraudulent documents and payment instructions. Forged licences, false COAs, unauthorized bank-account change messages, fake invoices, impersonation, phishing, fabricated purchase orders, forged email domains or diverted advances may occur. Users must independently verify company, regulatory and bank details using reliable channels. The Company does not guarantee the security of external email accounts or private payments it does not control.
5.4. Buyer default. A Buyer may delay or refuse payment, withdraw from a negotiation, misuse a sample, infringe confidentiality or send an invalid purchase order. A Manufacturer or Seller should verify buyer authorization, credit and contractual remedies independently. PharmXchange does not guarantee Buyer payment.
5.5. Delivery, logistics and customs. Shipment delays, shortfalls, temperature excursions, cargo damage, lost consignments, port detention, regulatory rejection, insurance gaps, incorrect documents and prohibited imports/exports remain matters for the contracting and legally responsible parties and their carriers/service providers.
5.6. Third-party injuries and recalls. Product injury, contamination, adverse reactions, field safety corrective action, recall, indemnity or regulatory penalty requires assessment of the actual product, conduct and parties responsible under applicable law. A Platform introduction is not itself a transfer of manufacturing/product liability to PharmXchange; neither does the Company use this statement to evade liability for its own directly actionable conduct.
5.7. Commercial disagreements. Disputed rates, MOQ, lead time, batch acceptance, delivery, specifications, refunds for goods, formulation ownership, label/artwork rights, exclusivity, marketing authorization and confidentiality are primarily addressed under the Users' bilateral contract and law, not automatically resolved by the Company.
6. Independent off-Platform activity
6.1. Users may exchange numbers, send WhatsApp messages, call, email, meet at an exhibition, sign offline agreements, place orders through other channels, transfer money directly to banks or arrange couriers. PharmXchange normally cannot observe or control those subsequent dealings and is not liable merely because the first contact originated on the Platform.
6.2. The Company does not undertake to investigate or arbitrate every external dispute, collect debts, recover advances, compel shipment or supply replacement goods. This does not prevent it from investigating a credible misuse report relating to its own Platform or complying with legal process.
6.3. Leaving the Platform is not a waiver of claims arising from the Company's own actionable false representations, unauthorized disclosure, serious Platform wrongdoing or other non-excludable duties.
7. TPM Zone — informational quotations and Buyer-controlled Reveal
7.1. A TPM RFQ is a User's request for information, not an independently verified manufacturing order. A Manufacturer's quotation is User-supplied information; the Company does not guarantee price, MOQ, capability, formula, GMP, regulatory filing, lead time, product release or factory output.
7.2. The Buyer may approve a quoted Manufacturer and initiate the permitted chat/Reveal process, or a Manufacturer may request Buyer Reveal, causing a request/alert requiring Buyer approval. A quotation and Reveal request do not automatically give the Manufacturer the Buyer's protected contacts. Where the applicable TPM flow states that no PXC Coin charge applies, the permitted TPM Reveal does not itself consume a separate Coin. The permissions and disclosed contact fields are those shown in the relevant workflow.
7.3. Users should independently agree technical transfer, quality terms, sampling, inspection, compliance, IP ownership, manufacturing guarantees and remedies before an independent order is binding.
8. Clearance Zone — stock truth, notice and contact access
8.1. Buyer demand: An eligible Seller may quote against an independently posted ready-stock requirement and may intentionally type contact details in chat. A response does not automatically disclose all profile contacts.
8.2. Seller inventory: A Buyer may show interest but cannot ordinarily chat/connect until the Seller accepts. Once accepted, authorized participants may chat and click the relevant counterpart profile to view available contacts. Acceptance enables contact-viewing access but does not automatically display every contact field in the acceptance moment. A clear notice must explain sharing where required.
8.3. Near-expiry or surplus listing is not an assertion that goods remain lawful, safe, genuine, properly stored or fit for a particular destination. Sellers must independently meet all rules concerning ownership, labeling, batch, shelf life, storage, temperature, traceability, recalls and lawfulness. Buyers must verify those claims before purchasing.
9. Eight sectors and regulatory risks
The Platform can carry discovery information in pharmaceuticals, surgical/medical devices, nutraceuticals, cosmetics/dermatology, AYUSH, veterinary, APIs and excipients. These sectors may be subject to materially different manufacturing, wholesale, import, export, food, medical-device, product-safety, controlled-drug, advertising or post-market duties. The Company is not the relevant licensing authority and does not certify all products or transactions. Users must satisfy the laws applicable to their role, product and territory and must not solicit or supply prohibited goods.
10. No medical, pharmaceutical-regulatory, legal, tax or financial advice
10.1. Ordinary product descriptions, marketing copy, quotations, searches, automated recommendations and support explanations do not provide medical diagnoses or treatment recommendations. PharmXchange does not dispense prescription medicines through these discovery Services.
10.2. A response from support, an automated FAQ, matching algorithm or another User is not a substitute for qualified regulatory, quality-control, legal, import/export, accounting or financial advice specific to the circumstances. No automated output guarantees clinical efficacy, scientific accuracy, licensing approval or transaction success.
11. Listings, messages and platform data accuracy
11.1. Listings, user comments, quotations, company descriptions, badges, certificates and images may have been submitted by users or derived from third-party sources. They can be incomplete, stale, manipulated or inaccurate. The Company may take reasonable review and removal measures but does not guarantee the accuracy of every item or continuous regulatory verification.
11.2. Website and app availability may be affected by third-party networks, software, infrastructure, payment gateways, outages, cyber incidents, moderation and legal obligations. The Company makes no promise of uninterrupted or perfectly secure service. It must nevertheless meet its own material express commitments and applicable statutory duties.
11.3. AI-assisted or automated matching and summaries, where actually used, may be imperfect; users must independently inspect important details. This clause does not imply that AI is used in every feature.
12. Paid Plans, Coins and Boost are not outcome guarantees
12.1. A paid subscription gives only the digital access and entitlements identified by the applicable purchase flow. A paid Plan or reviewed Manufacturer does not mean PharmXchange financially guarantees leads, quotes, buyer solvency, genuine stock, product quality or transaction completion.
12.2. PXC Coins are feature-use credits, not cash, bank deposits or third-party purchase protection. They can differ by subscription-included, purchased, welcome or restored origin. Purchased credits are subject to store and legal non-expiry and refund protections where applicable, and may not be declared universally forfeited on Plan expiry.
12.3. An approved promotional Boost does not guarantee impressions, orders, clicks or revenue. A qualifying Boost placement lasts 24 hours after actual approved activation and applicable edit-window closure. If content is rejected, the eligible Boost Coin is restored and a reason retained to facilitate correction/resubmission; other delivery faults and remedies are addressed in the Refund & Cancellation Policy.
12.4. Digital payment and invoice obligations. Although the Company does not ordinarily settle independent manufacturer-to-buyer product trades, it remains responsible for its own legally enforceable digital-service purchase, tax-document, security, access and refund obligations where applicable. The presence of a Razorpay or app-store payment method does not itself guarantee availability, compliance or entitlement in every territory. An invoice marked SAMPLE is an illustrative document rather than proof of a completed transaction.
13. Reporting unsafe conduct and our response
13.1. Avoid a risky transaction and report it. If a business appears suspicious, requests unusual payments, provides a false licence, offers recalled/expired goods, misuses contact details, provides counterfeit certificates or otherwise creates credible danger, stop or defer the proposed trade. Email a factual report and lawfully shareable evidence to pharmxchange5@gmail.com, and optionally team@thepharmxchange.com for fraud reports. Telephone +91 92747 20185 for the official support channel.
13.2. Include, where available, the User, listing/RFQ/reference, what occurred, dates, and supporting evidence. Do not send passwords, bank secrets, unredacted payment-card records, patient details or unrelated sensitive information through general inboxes. Contact a bank, regulator, law enforcement or emergency authority directly where urgent action is needed.
13.3. PharmXchange may review information, seek clarification, remove content, restrict access, preserve relevant records, request re-verification and cooperate with appropriate authorities. We do not guarantee refund of goods-trade advances or a particular investigation outcome. We respond proportionately and lawfully to credible actionable risks and avoid publicly condemning a business merely because an unverified accusation exists.
14. International businesses and restricted territories
14.1. PharmXchange's current geographic eligibility policy excludes the full European geographic region, including EU/EEA, UK, Switzerland and other European countries; transcontinental classifications are determined case by case. Other non-European countries are not automatically legally cleared simply because the website is visible or a Global Plan is advertised. The current store-market reference is available in the Global App Availability and Purchase Eligibility page.
14.2. International Users are responsible for verifying their contracting entity, business licences, product registration, customs rules, banking/sanctions obligations, taxes, destination-market requirements and independent trade due diligence. Any choice of Indian governing law and Company limitations remains subject to mandatory local rights and duties that actually apply.
14.3. The Company does not guarantee that a match is permitted to import, export or distribute every relevant product in the origin or destination country. The Company's privacy practices and lawful cross-border information sharing are separately described in the Privacy Policy.
14.4. Distribution is not a trade or payment licence. A mobile app may be listed in a particular store without its paid digital products being available there, and a User may access public information from a location where registration or regulated trading is restricted. The applicable commercial, sanctions, sectoral, privacy and payment rules govern the real transaction; a common distribution list is not a representation of universal legal clearance.
15. Legal limits of this Disclaimer
15.1. The provisions here clarify the nature and limitations of third-party discovery. They do not override the Terms & Conditions, the accepted paid-service offer, the Privacy Policy, the Refund & Cancellation Policy, or Applicable Law. In the event of conflict, a valid more specific purchase commitment controls for the purchased feature to the extent lawful, and mandatory law always prevails.
15.2. Nothing here excludes liability for the Company's own fraud, wilful misconduct, non-excludable statutory duties, mandatory repayment/refund obligations, or another matter for which exclusion is legally prohibited. Liability for the Company's own service commitments must be assessed separately from responsibility for a third-party goods contract.
