PHARMXCHANGE — GLOBAL TERMS AND CONDITIONS OF USE

Operator: PharmXchange Private Limited Version: 5.0 Effective date: This version takes effect on the date Version 5.0 is first published at the Canonical URL, subject to any notice or acceptance required by Applicable Law. Canonical URL: https://pharmxchange.in/terms-conditions

IMPORTANT NOTICE

These Terms govern use of PharmXchange's business-to-business digital discovery, quotation, matching, contact-sharing and related services. PharmXchange helps businesses find and connect with potentially relevant businesses; it does not ordinarily manufacture, buy, sell, collect payments for, inspect, transport, insure, or guarantee the products traded independently by users. Verification is primarily documentary and does not mean that PharmXchange has physically inspected any facility or guaranteed a counterparty. Review the counterparty and the proposed transaction independently before making payments or contractual commitments.

By expressly accepting these Terms when required, registering for an Account, or using paid or restricted Services after appropriate notice, you agree to these Terms in your own capacity or on behalf of the organization that you are authorized to represent. Visiting a public page or sending an enquiry does not itself authorize optional marketing communications, agree a user-to-user purchase, or waive rights that cannot be waived under applicable law. If you do not agree, do not use restricted Services.

1. The Company and the Platform

1.1. Contracting party. The Platform is operated by PharmXchange Private Limited, a company incorporated in India, CIN U62099GJ2026PTC173145, GSTIN 24AAQCP6770K1ZR. Its registered corporate address is 457-F, Office No. 4-D, Vardan Tower, Lakhudi Circle, Navrangpura, Ahmedabad City, Ahmedabad – 380009, Gujarat, India. The Company's separately reported GST place of business is 1001–1005 & 1008–1010, Tenth Floor, C/o The Co.Work Capital, TRUE VALUE COWORKING SOLUTIONS, OCEAN, Near Centre Square Mall, Opp. Vadodara Central, Sarabhai Campus, Vadodara, Gujarat – 390023, India. The distinction between those addresses does not make a second company a party to these Terms.

1.2. Channels. “Platform” and “Services” include Company-authorized websites, including thepharmxchange.com and pharmxchange.in, the PharmXchange Android and iOS apps, authenticated screens, RFQ and stock-discovery features, forms, communications, campaigns and associated Company-operated digital services. A service mentioned in these Terms is available only if actually offered to the relevant User, role, category, country and purchase plan.

1.3. Service boundary. PharmXchange offers business profiles, business discovery, structured requirements/RFQs, quotations and comparisons, contact-sharing workflows, notices and communications, documentary review, and certain paid digital entitlements. Except where a separate written agreement expressly establishes otherwise, the Company is not a manufacturer, distributor, wholesaler, pharmacist, prescribing professional, merchant of the third-party goods, customs broker, escrow agent, cargo handler, logistics or storage provider, insurer, transaction settlement provider, product-quality certifier, or a contracting party to an Underlying Transaction.

1.4. No trade-value commission. Under the model described here, the Company generally charges for specified Platform access and digital features rather than a commission on the value of independently negotiated user-to-user product trades. A subscription, Coin purchase, paid listing or Boost does not purchase trade insurance, a supplier-performance guarantee or an obligation to complete or finance an order.

1.5. Company duties remain. These role descriptions do not eliminate duties or liability for the Company's own actionable acts, representations, negligence to the extent non-excludable, breaches of express contractual obligations, or obligations that law does not permit it to exclude.

2. Definitions

  • Account: a Company-authorized registration for a business or its representative to access relevant Services.
  • Business User / User: an entity or an authorized natural person using the Platform for genuine business purposes, including visitors where context requires.
  • Buyer: an eligible person or business seeking a manufacturer, supplier, business opportunity, product, or ready stock.
  • Manufacturer: a person or business representing that it has authority and capability for the relevant manufacturing activity.
  • Seller / Supplier: a User offering authorized product stock, products, manufacturing services or business opportunities.
  • TPM Zone: applicable third-party manufacturing discovery and requirement/quotation features.
  • Clearance Zone: ready-stock and eligible fresh, surplus, short-dated or near-expiry supply and demand discovery features.
  • Requirement / RFQ: information submitted by a User seeking a quotation, manufacturing service, product or supply opportunity; an RFQ is not by itself a purchase order.
  • Quotation: a response submitted by another User; display does not alone establish a binding sale contract.
  • Reveal / Contact Sharing: making specified business or personal contact fields accessible under the actual feature-specific authorization sequence.
  • Plan: an offered subscription or other defined entitlement with specific price, term, territory and functionality.
  • PXC Coins / PharmXCoins: limited digital-use credits applicable to specified Platform actions, differentiated by how they were obtained.
  • Boost: a paid or credit-funded promotional-visibility service, subject to eligibility, content review, approved activation and feature-specific conditions.
  • Underlying Transaction: a sale, manufacture, import, export, procurement, storage, shipment, product payment or other commercial arrangement independently negotiated or concluded by Users.
  • Applicable Law: binding law, regulation, government or court direction, regulatory conditions and other legally applicable obligations affecting a User, product, territory or the Company.

3. Covered industries, business roles and eligibility

3.1. Eligible discovery categories may include (i) pharmaceuticals; (ii) surgical and medical devices; (iii) nutraceuticals; (iv) cosmetics and dermatology; (v) Ayurvedic and AYUSH products; (vi) veterinary products; (vii) APIs; and (viii) excipients. These categories do not carry identical laws, and not every category is available in every feature, territory or plan. TPM manufacturing capabilities may cover fewer categories than general discovery.

3.2. Participants may include manufacturers, contract manufacturers, formulators, brand owners, PCD and marketing companies, wholesalers, distributors, stockists, exporters, importers, suppliers, hospitals, health institutions, other eligible companies and authorized representatives.

3.3. An individual using restricted Services must be an adult with legal capacity or otherwise competent under Applicable Law, and must be authorized to represent the named business. Services are for genuine business purposes. No User may falsely describe its legal status, authority, role, product credentials, ownership, business registration or country of establishment.

3.4. Users shall provide current and complete business identity and contact details, and update material changes including licensing status, role, ownership, insolvency, facility capacity and registration details where relevant to a Platform claim or proposed transaction.

3.5. The Company may reasonably request identity, tax, corporate, licensing or regulatory information and may limit access pending satisfactory review. Eligibility may differ by role, product or place. OTP/email verification ordinarily proves control of the relevant communication method only, not the holder's manufacturing ability, business legitimacy, creditworthiness or regulatory compliance.

4. Account use and security

4.1. The User is responsible for its Account, authorized colleagues, user seats, contact methods, devices, credentials and activities that it has authorized, subject to applicable statutory protections. Do not share passwords, bypass verification, impersonate another business or grant access outside the permitted organization without authorization.

4.2. Notify the Company promptly about account compromise, material document falsification, unauthorized disclosure, revoked or expired licences, material changes in legal authority, or other facts that make a profile materially misleading.

4.3. The Company may verify or re-verify documents, request correction or supporting material, restrict high-risk access, suspend a feature, or remove an unreliable status on objectively supportable safety, fraud, security, eligibility or legal grounds. Immediate measures may be taken where proportionate to urgent risk; ordinary concerns may receive explanation and an opportunity to respond where appropriate.

5. Scope and limits of documentary verification

5.1. The Company seeks to improve business-network integrity through proportionate review of submitted corporate, tax, regulatory or other business information. Depending on sector and role, the review may concern business registration, GST/tax details, drug or manufacturer licences, other regulatory authorizations and associated documents. A relevant integration may permit certain documents to be supplied or authenticated using DigiLocker or other authorized services where actually supported.

5.2. Ordinary verification is document-based. The Company does not ordinarily visit or physically inspect a business's office, factory, plant, warehouse, stock, manufacturing line or laboratory. It does not routinely perform independent batch testing, facility-quality audits, cold-chain inspections, product authentication, regulatory certification or solvency assessments.

5.3. A document upload, a badge, approved Account, review status, use of DigiLocker, subscription payment or successful match is not a governmental endorsement, continuous licence-validity assurance, current GMP inspection, safety certification, product warranty, capacity guarantee, authenticity guarantee or promise that the person will fulfil an Underlying Transaction.

5.4. Information may have been provided by the User, an available third-party source or an issuing body. A digital document service may authenticate the origin or availability of a document without verifying every claim about the business or its ongoing legal eligibility. Representations must be evaluated according to their actual source and scope.

5.5. Independent due diligence is essential. Before paying an advance, disclosing confidential formulas or signing an order, reasonably verify the counterparty's company registration, current category-specific permissions, facility and capacity (including independent inspection where appropriate), product registration, provenance, quality records, references, bank ownership, insurance, commercial terms and import/export obligations. Obtain independent legal, regulatory, quality and financial assistance for material transactions. Decline to transact where serious warning signs remain unresolved, and report credible suspicious conduct to the Company.

6. TPM Zone: requirements, quotations and Buyer-controlled Reveal

6.1. Eligible Buyers may submit manufacturing RFQs. Eligible Manufacturers may receive matching opportunities, compare needs to their capacities and submit pricing, MOQ, lead-time, compliance and other details. Platform recommendations or widening of match criteria may use category and technical attributes; they are informational matches, not certifications or guaranteed results.

6.2. A posted Requirement, Manufacturer response, “approve”, compare or “show interest” action is not an enforceable supply contract by itself. Counterparties separately negotiate and document formulas, quality specifications, artwork, technical transfers, regulatory files, confidentiality, purchase orders, price, manufacturing capacity, acceptance and payment arrangements.

6.3. Buyer-controlled disclosure. Where the permitted TPM flow supports it, the Buyer may approve a Manufacturer's quotation and initiate the authorized chat/contact workflow. A Manufacturer who has quoted may instead request the Buyer's Reveal; the Platform may alert the Buyer, and the Buyer's approval is required before the protected Buyer contact fields become accessible. A manufacturer's request or quote alone does not grant the Manufacturer the Buyer's personal or direct contact information.

6.4. Where the applicable TPM flow states that no PXC Coin charge applies, a permitted Manufacturer quotation, Reveal request, Buyer's Reveal decision and authorized connection do not themselves consume PXC Coins. Any future charge will be disclosed lawfully before the relevant action; changes may not be applied retroactively to an existing commitment without lawful notice.

6.5. RFQs and listings have the active duration shown in their accepted flow. The published limits for applicable Domestic requirements are up to 45 days, and for eligible export/Global requirements up to 90 days, unless lawfully closed earlier. These periods must not be confused with Plan duration, Paid Coin validity or an offer of guaranteed responses. The precise posting screen controls permitted earlier closure and eligible restoration rules to the extent lawful.

7. Clearance Zone: Buyer demand and Seller inventory

7.1. Buyer-created demand. The Buyer may post a permitted ready-stock requirement and eligible Sellers may quote. Users may intentionally provide contact information by typing it in a Platform chat or using a clearly described sharing feature. A Seller's quotation alone does not automatically reveal all identity/contact fields. Users should avoid sharing unnecessary sensitive or confidential material through ordinary chats.

7.2. Seller-created listing. A Seller may post permitted fresh, surplus, short-dated or near-expiry inventory for which it has lawful ownership, possession or documented authority to offer. A Buyer may express interest. Before the Seller accepts an interested Buyer, the Buyer ordinarily cannot open that connection or chat. After Seller acceptance, the permitted chat and counterpart profile become accessible, and the relevant user can click the other party's profile to view the disclosed contact details according to the applicable disclosure. Acceptance authorizes access; it is not necessarily an immediate on-screen display of both parties' details. The disclosure shown before the relevant act explains the result of acceptance/contact access.

7.3. Any notice displayed when posting stock or demand should state the action and recipient sufficiently for informed business use. Users must use disclosed details for the relevant lawful business interaction and shall not scrape, sell, spam, harass, profile unrelated persons or disclose the information further unlawfully. Disclosure may not be technically reversible once another User has received the data.

7.4. Every Seller is responsible for accurate and material product descriptions: real stock and quantity, ownership/authorization, strength/formulation where relevant, batch or lot, manufacturing and expiry/retest dates, storage and temperature conditions, traceability, damage, quality status, recall warnings, restrictions and supporting documentation. Short-dated status never permits unlawful trade of expired, recalled, contaminated or prohibited goods.

7.5. Buyers must independently assess quality, quantity, product legality, shipment and safe storage. PharmXchange is not a pharmaceutical stock custodian or batch authenticator merely because it hosts the listing.

8. Regulated goods and eight-sector responsibilities

8.1. Users are responsible for all licences, permits, regulatory authorizations, registrations, product quality and safety duties that apply to their own role and transaction. Requirements differ across drugs, devices, food/nutraceuticals, cosmetics, AYUSH, veterinary products, APIs and excipients and across origin and destination countries.

8.2. No User may list, solicit, offer or facilitate unlawful, counterfeit, falsified, adulterated, stolen, recalled, banned, improperly imported, untraceable, or expired-where-unlawful goods or make deceptive therapeutic, efficacy, capacity, regulatory or manufacturing claims.

8.3. When applicable, duties may include professional wholesale/manufacturing authorization, legitimate product registration, device approvals and sterilization, composition/claims rules for food and cosmetics, controlled-substance requirements, API/excipient quality records, batch release, testing, pharmacovigilance, recalls, cold-chain handling, labeling, customs and post-market reporting. Listing availability does not override these rules.

8.4. Neither a Platform category nor a positive document-review status supplies the user's legally required licence. The Company may remove reported unlawful products and cooperate with authorities where legally required or justified.

9. Independent Underlying Transactions and risks

9.1. Separate contracts. Users form, negotiate and perform their own purchase, manufacturing, distribution or supply contracts. Where applicable, they should document payment, title and risk transfer, product warranties, batch release/inspection, return rights, shipping and Incoterms, insurance, customs, taxes, governing law, regulatory responsibilities and disputes in written bilateral contracts.

9.2. Trade payments. PharmXchange does not ordinarily collect or hold consideration for an Underlying Transaction. A payment to a supplier, manufacturer, agent or other business is not a Company subscription payment, and the Company does not insure, guarantee or automatically refund that third-party payment.

9.3. Illustrative independent risks. These include a manufacturer disappearing after an advance; a seller failing to dispatch goods; buyer non-payment; fraudulent bank-change instructions; counterfeit stock; defective or unstable batches; incorrect COAs or licences; insufficient shelf life; recalls; cold-chain failure; short delivery; shipment damage; customs detention; sanctions restrictions; rejected imports; capacity misrepresentation; breaches of NDA, formula ownership or exclusivity; and product injury. The relevant user(s) and legally responsible supply-chain parties remain responsible for their own representations, performance and statutory obligations.

9.4. Off-Platform discussions. Users may subsequently exchange orders, payments, messages, telephone calls, emails, WhatsApp communications, trade-show meetings or separate contracts. The Company ordinarily does not oversee or control those dealings, and moving the relationship off-Platform does not expand its obligations. Conversely, it does not eliminate the Company's own legally enforceable obligations or excuse Company misconduct.

9.5. No outcome promise. Access, paid Plan, listing exposure, a document review, quotation, introduction, or Reveal does not guarantee an order, revenue, qualified lead count, lender-like creditworthiness, genuine inventory, timely production or successful delivery.

10. Subscription plans, prices and renewals

10.1. Some Services are free; other functions require a disclosed paid Plan, eligibility, verification or available PXC Coins. India-based contracting businesses may be offered eligible Domestic or Global access. Foreign contracting businesses may be offered Global access only in jurisdictions permitted by the Company and Applicable Law. Current pricing and duration are those offered in the actual accepted purchase flow; historical prices and promotional claims are not continuing contractual commitments.

10.2. Plans may have different durations, regions, features, limits and included Coins. Users should review the payment screen before confirming a purchase. Prices, currency, taxes and invoicing depend on the supply and the applicable purchase channel. Paid Platform access does not buy the Company's guarantee of the other party's trade performance.

10.3. Automatic renewal takes place only when the relevant purchase arrangement actually offers it and the User has provided the required authorization. The Plan/checkout must disclose the renewal period, price, billing timing, cancellation method and essential terms. A fixed-term plan does not automatically renew merely because a user previously paid once.

10.4. Cancellation of future renewal is different from reversal of a completed purchase. Where renewal is managed through an app store or authorized payment provider, the customer must follow the applicable cancellation method. Uninstalling the app, ceasing to use it, or seeking Account deletion does not necessarily terminate an active billing mandate. Applicable refunds and compulsory rights are set out in the Refund & Cancellation Policy.

10.5. Upgrade, downgrade, pro-rata adjustment, remaining access and carry-forward rights depend on the accepted Plan, the applicable entitlement record and Applicable Law. No policy may silently take away paid entitlements protected under a purchase channel or law.

11. PXC Coins and restoration

11.1. PXC Coins are limited digital-use entitlements for specified activities within PharmXchange. They are not currency, deposits, stored-value payment instruments for third-party goods, cryptocurrency, investment assets, securities or freely transferable financial rights.

11.2. Coin rights differ by provenance: (a) subscription-included Coins, (b) separately purchased top-up Coins, (c) welcome/promotional Coins, and (d) Coins restored after qualifying no-response outcomes. Each class may have distinct validity, refund and usage rules under the accepted purchase disclosure, store rules and Applicable Law.

11.3. The applicable renewal/upgrade rule allows eligible remaining Coins to carry forward when the applicable next Plan is purchased before the current Plan expires. This does not mean separately purchased Coins may universally expire on Plan expiry. Credits purchased using Apple in-app purchase are subject to Apple's non-expiry requirements, and other channels may also afford mandatory rights. The Company will not treat a blanket expiry statement as overriding those rights.

11.4. A domestic or export feature may consume a different number of Coins, disclosed before the action. Quoting, responding to enquiries and authorized TPM Reveal are not charged as separate Coin actions under the current stated model; a future product change requires appropriate disclosure and may only apply where lawful.

11.5. No-response restoration. Where a qualifying TPM or Clearance posting receives no qualifying response during its eligible posting period, the Company provides the PXC Coin restoration available under that posting's published, lawful feature conditions. An invalid, automated, fraudulent or irrelevant communication should not be treated as a qualifying response solely to prevent restoration. Eligibility may depend on accurate submission, timely closure, non-duplication and absence of abuse, and disputed cases may be reviewed against the event log. Restoration of Coins is not the same as returning money paid for a subscription.

11.6. Coins may be adjusted for a failed deduction, duplicate debit, confirmed system error, lawful reversal, fraudulent use or approved restoration. Users should request review with sufficient account and posting references; do not submit passwords or unredacted payment-card details.

12. Boost and promotional visibility

12.1. Where available, an eligible User may apply a Boost Coin or purchased entitlement to a submitted marketing flyer, listing or other permitted promotion. Paid promotion is conditional on lawful content, eligibility, review and actual activation. Buying a token does not guarantee approval, impressions, clicks, responses or transactions.

12.2. An approved Boost ordinarily runs for 24 hours starting from its actual activation after Company approval and closure of the applicable edit window, not automatically from payment, submission or upload. The recorded activation and end time govern delivery; the Company shall disclose an alternative duration before a different offer is accepted.

12.3. If the Company rejects the submitted Boost material, the relevant Boost Coin is restored to the User's eligible balance; a rejection reason is retained and the User may correct and resubmit permitted content. A User may seek explanation by contacting support with their Account or promotion reference, without supplying unnecessary sensitive data.

12.4. Non-activation, repeated processing failures or materially shortened service caused by the Company may qualify for reactivation, credit restoration or a lawful monetary remedy according to the Refund & Cancellation Policy and mandatory law. The Company may suspend misleading or unsafe advertising; it must not claim delivery of a Boost it never actually activated.

13. Fees, payments, tax and invoice distinctions

13.1. The Company charges for its own digital Services. Users separately settle their own product trade consideration and assume their own trade tax, customs and regulatory obligations. Payment processors and app stores may help process a Platform purchase; their use does not alone decide the Company's tax treatment or transfer every statutory duty to the processor.

13.2. A payment acknowledgement, subscription receipt and statutory tax invoice may be different records. Appropriate records, issuer, tax lines, applicable goods/services classification, currency and credit notes depend on the actual transaction and Applicable Law. Do not infer that every foreign payment is a qualifying zero-rated export merely because the buyer pays in USD or uses a foreign card.

13.3. Refunds, canceled or failed payments, chargeback claims, duplicate debits and entitlements follow purchase records, actual payment channel, published policy and mandatory rights. The Company may reasonably investigate a claimed unauthorized transaction without blocking legitimate bank or statutory remedies.

13.4. Purchase-channel disclosure. A Plan, purchased PXC Coin balance or Boost may be a digital feature consumed in the application and may be subject to mandatory App Store or Google Play billing rules. Where an authorized alternative billing route is offered, it is available only in eligible countries under the applicable store programme, conditions and disclosures. A successful Apple Pay or Razorpay transaction alone does not establish that a payment method is permitted by an app store. The actual price, Company or third-party seller/merchant of record, billing method, subscription or renewal status and relevant purchase conditions are shown before confirmation.

13.5. Statutory billing records. A gateway payment confirmation, store receipt and tax invoice can be separate documents. Where a statutory invoice or credit note is required, it identifies the correct issuer, customer, consideration, supply classification, place of supply, taxes, currency and linked transaction as required by Applicable Law. The Company will not issue conflicting or duplicate statutory invoices for the same supply. Browser-generated preview documents, including a SAMPLE invoice with a demonstration number, are not issued tax invoices.

13.6. Place-of-supply and export safeguards. For an Indian taxable supply, applicable CGST/SGST or IGST treatment follows the legally determined place of supply and supplier location, not merely an entered country or printed billing address. A foreign payment does not automatically satisfy export-of-services requirements or make tax zero-rated. Zero-rated treatment under a valid applicable LUT, and any mandatory invoice endorsement, applies only where the statutory conditions for the actual transaction are satisfied.

14. Contact information, confidential materials and IP

14.1. Users retain intellectual-property rights they lawfully hold in their User Content. By submitting it, a User grants the Company a non-exclusive licence reasonably necessary to store, verify where applicable, index, display to authorized audiences, transmit, moderate and protect the material to deliver the Services and comply with law. This is not a perpetual transfer of ownership of confidential formulas, documents, trademarks, dossiers or technical plans.

14.2. Users warrant that they have lawful authority to submit and share the content and personal data concerned. They must respect NDAs, patents, trademarks, regulatory confidentiality, privacy and trade-secret laws. They may execute separate NDAs and manufacturing/quality agreements with one another. PharmXchange is not a party to those agreements unless expressly signing one.

14.3. Use contact and business information obtained through Reveal or chat only for lawful, relevant business discussions. No unauthorized bulk extraction, scraping, resale, profiling, spam, threats, harassment or unnecessary distribution of another person's personal data. Users understand that recipient copies may not be recoverable after a lawful Reveal.

15. Privacy and permitted communications

15.1. The Privacy Policy describes personal-data categories, purposes, data-sharing, document handling, actual Platform visibility, third-party service providers, privacy choices, transfers and other applicable disclosures.

15.2. Terms acceptance, OTP login, event registration, receiving a quote or voluntarily sharing contact data does not constitute consent to unrelated promotional WhatsApp, email, SMS or push messaging. Marketing choices are independent where required; necessary service, fraud, billing, safety and legal messages may be sent where lawfully justified.

15.3. The Company may maintain appropriate audit records of genuine account acceptance, content changes, payments and authorized Reveal interactions where lawful. These Terms do not assert that a record was created if the feature did not record it.

16. Prohibited activities and user reporting

16.1. Users shall not impersonate another entity, upload forged licences, publish illegal products, circulate fake COAs or quotations, commit fraud, mislead about capacity, send phishing messages, bypass security, use malware, systematically scrape private business data, misuse personal data, violate third-party IP, evade sanctions or export controls, or promote unlawful health claims.

16.2. If you identify suspected fraud, fake licences, bank diversion, unsafe stock, misleading supplier claims, counterfeit material, unauthorized Reveal, phishing or other credible risk, avoid making further payments or sharing sensitive material and report the concern promptly with a listing/Account/RFQ reference, relevant dates and safely shareable supporting evidence. The primary legal and grievance contact is pharmxchange5@gmail.com; suspected fraud may also be reported to team@thepharmxchange.com. Customer contact: +91 92747 20185. Contact banks, law enforcement or competent product regulators directly when needed for urgent relief. Do not send passwords or unnecessary personal or medical records.

16.3. Where supported, in-app abuse reports may be routed to designated Company reviewers and other authorized complaint inboxes according to the applicable reporting workflow and need-to-know access controls. The Company may investigate, request evidence, restrict a User, remove high-risk content, retain legally justified records and cooperate with competent authorities, where appropriate. A mere allegation does not prove guilt; the Company will apply proportionate measures consistent with its own legal duties. It does not guarantee debt recovery, replacement goods, prosecution or compensation for another User's independent fraud.

17. Suspension, termination and feature changes

17.1. The Company may proportionately restrict, suspend or remove an Account, listing or paid feature for objectively supportable fraud, unsafe goods, invalid permissions, prohibited conduct, legal direction, security risk or material Terms breach. Where safe and appropriate it may give reasons and an opportunity to correct error or challenge the restriction.

17.2. Users may request Account closure through the supported contact or deletion interface. Account closure does not necessarily cancel a separately managed recurring subscription; records may be retained for legitimate legal, tax, security and dispute requirements as described in the Privacy Policy.

17.3. Suspension or closure does not automatically extinguish accrued third-party obligations or paid credits protected by law. If the Company terminates or materially fails to supply a paid digital entitlement, applicable refunds, credit restoration, proportionate remedies and statutory rights remain available.

17.4. The Company may modify, suspend or discontinue features for reasonable commercial, legal, safety or security reasons, subject to published commitments and compulsory customer remedies. No Company change retroactively removes accrued rights unless permitted by law.

18.1. Subject to the Company's express commitments and non-excludable duties, Platform matching, third-party information, quotations, stock details and user-generated descriptions are provided on an “as available” informational basis. The Company does not warrant the independent supplier's honesty, legal status, inventory, financial capacity, facility, product quality, delivery, customs clearance or commercial success.

18.2. To the extent lawful, the Company excludes liability for indirect or consequential lost opportunity, anticipated profit or unrelated third-party transaction loss for which it has no legal responsibility. This exclusion does not protect the Company from its own fraud, wilful misconduct, breaches of legally non-excludable duties or mandatory refunds/restitution.

18.3. For a claim arising directly from a paid Platform Service, and only to the extent a lawful cap is enforceable, the Company's aggregate contractual liability shall not exceed fees actually paid for that particular Service during the three months preceding the first event giving rise to the claim. The clause does not govern independent third-party goods invoices or eliminate statutory remedies and will be interpreted subject to mandatory legal exceptions. Rights for free-service users and non-excludable claims remain determined under Applicable Law.

18.4. To the extent legally enforceable, a User will indemnify the Company against reasonable third-party claims and costs caused by that User's own unlawful products, fraud, forged documents, misuse of confidential or personal data, infringement, material Terms breach or illegal trade. This does not require indemnity for the Company's independent wrongdoing or breaches of non-excludable duties.

19. Governing law, disputes and complaints

19.1. A dispute concerning an Underlying Transaction is ordinarily addressed under the Users' separate agreement and Applicable Law. The Company is not obliged to arbitrate, recover debt, finance, insure or decide product quality between other Users.

19.2. Subject to overriding mandatory laws and legally protected claims, these Terms are governed by Indian law. For a direct claim concerning the Company's own Services, Users should first send a written complaint with the relevant information to pharmxchange5@gmail.com; the parties should try in good faith to resolve it within 30 days, without delaying urgent judicial relief, regulator complaints or time-limited statutory remedies.

19.3. Courts of competent jurisdiction in Ahmedabad, Gujarat, India have jurisdiction over direct contractual disputes involving the Company only to the extent a forum-selection clause is enforceable. These Terms do not impose an arbitration agreement by implication; any arbitration must be separately and validly agreed. Mandatory rights in other jurisdictions prevail where applicable.

20. International business users and Europe exclusion

20.1. PharmXchange's current geographic eligibility policy excludes the European geographic region, including EU/EEA countries, the United Kingdom, Switzerland and other European countries. The geographic classification of some transcontinental or borderline jurisdictions is determined case by case. An available website or app-store listing does not establish eligibility to register, buy, post regulated goods or conduct cross-border business in that jurisdiction. The current distribution reference is published in the Global App Availability and Purchase Eligibility page.

20.2. Outside India, Global-access features may be available to eligible contracting businesses in selected non-European countries. “Outside Europe” is not a statement that every other country has been legally approved or can use all paid features. Availability depends on country configuration, payment/settlement support, category, sanctions, privacy, tax, sector-specific rules and the Company's lawful operational restrictions.

20.3. A User's legal business entity, principal business and billing address, actual permitted market and regulatory obligations—not merely nationality, an Indian/non-Indian SIM, passport, IP location or selected currency—inform eligibility. Users must check export/import permissions, customs, importer's registration, sanctions, trade controls, product registration, shipping, labeling, taxes, banking and counterparty due diligence in both the supply and destination countries.

20.4. Cross-border personal-data practices are further described in the Privacy Policy. Indian governing law, liability exclusions, policy changes and forum-selection provisions do not override mandatory local privacy, commercial, restitution, or other statutory protections. Where a local rule requires supplemental notice or a separate contract term, that requirement applies to the relevant Service.

20.5. Store-specific distribution and purchase eligibility. Apple App Store and Google Play storefront selections are not necessarily identical. Inclusion in a distribution list does not guarantee that a person in a country may register, purchase a particular Plan, obtain PXC Coins, buy a Boost, use a particular payment method or conduct a regulated product transaction. The dated country-by-platform availability notice may change without altering accrued contractual rights or overriding any notice required by Applicable Law.

21. Notices, amendments and general provisions

21.1. The Company may communicate material contract, service, payment, privacy, security and legal notices through permitted registered email, Account notice, push, SMS, publicly accessible policy page or another sufficient method. Where a specific affirmative re-acceptance or direct notice is required, a passive website update is not a substitute.

21.2. Versions shall bear the actual revision and effective dates. A material Terms change becomes binding when the Company provides any required notice/acceptance. An amendment does not retroactively wipe away accrued rights or already due refunds in violation of law.

21.3. Users may not sell, transfer or license their Account to another entity without written authorization except where law provides otherwise. The Company may assign these Terms in connection with a lawful merger or genuine sale of the relevant business, subject to legal and personal-data obligations. Failure to enforce a provision is not a general waiver. Unenforceable provisions shall be severed or narrowly interpreted without defeating the remainder of these Terms.

21.4. These Terms do not create a partnership, employment, joint venture, franchise, fiduciary duty or agency between the Company and other Users. A User cannot bind the Company without separate written authorization.
